PROPOSED AMENDMENTS TO THE INTERNAL REVENUE CODE OF 1986 CONTAINED IN HOUSE RULE 3200 - "AMERICA’S AFFORDABLE HEALTH CHOICES ACT OF 2009"

Beginning in 2013, a new 2.5% tax will be levied on individuals who do not have a qualified health benefits plan. The tax is calculated on adjusted gross income less the personal exemption amount. (Section 59B) Individuals without acceptable coverage need to file income tax returns disclosing same and pay the tax. (Section 6012(a)(10)).
Beginning in 2013, persons providing acceptable health insurance coverage to individuals must report to the IRS the identifying information of these individuals and others covered under their policies. (Section 6050X)
Beginning in 2013, employers who elect to provide health coverage but who do not, must pay a penalty tax of $100 a day for each day they fail to provide coverage. (Section 4980H)
Beginning in 2013, employers who default into the national health insurance program pay a new excise tax equal to 8% of each non-covered individual’s wages. The tax is reduced on payrolls below $400,000. (Section 3111 (c))
Beginning in 2013, small employers receive a small business health coverage cost tax credit for providing qualified employees with health benefits in an amount equal to the applicable percentage of the health coverage expenses for the year. The credit phases out beginning at $20,000 average employee compensation or, alternatively, at 11 or more employees. (Section 45R)
Effective 2011, taxpayers must pay income taxes on adjusted gross income between $350,000 and $500,000 (1%); between $500,000 and $1M (1.5%); and over $1M (5.4%). The 1% and 1.5% rates may increase or disappear during 2013. (Section 59C).

LINDABURY ATTORNEYS SUCCEED FOR CLIENT IN NJ SUPREME COURT

On July 23, 2009, the Supreme Court of New Jersey unanimously overturned one of the largest medical malpractice verdicts in New Jersey history, in favor of our client. Health Care attorney Catherine J. Flynn was a member of a team of defense attorneys who successfully persuaded the Court to reverse the jury award of more than $70 million. The Court found that the defendants did not receive a fair trial from an impartial jury. The case, Casey Pellicer v. Zeig, et. als., was returned to the lower court to be retried. Catherine was assisted on the brief by associates Monica Vir and Sergio Simoes. This is Catherine's second victory on behalf of a healthcare client at the Supreme Court in recent months.

CONSTRUCTION LAW ATTORNEY FIGHTING FOR PUBLIC BIDDING LAW

On July 23, 2009, construction attorney Edward J. Frisch was interviewed by NJBIZ regarding the Mechanical Contractors Association of New Jersey's opposition to the removal of the public bidding law from the NJ Economic Stimulus Act of 2009, passed last month. An earlier version of the bill mandated that the construction of projects on state colleges and universities follow public bidding law. But the final version of the bill permits private builders to do the work without following this law. The mechanical contractors fear that not following traditional public bidding practices creates the opportunity for public money to be given to those with the best political connections. STATE OF NEW JERSEY/2009 GROSS INCOME TAX INCREASE

Retroactive to January 1, 2009, the State of New Jersey has materially increased its gross income tax for 2009 et seq. We provide here a link to the Notice from the New Jersey Division of Taxation that sets forth the brackets and rates, and also the specifics with regard to the repeal of the real property tax deduction, in whole or in part, for New Jersey taxpayers having gross incomes of more than $150,000.
The new marginal rates and tax increases (aside from the repeal of the tax deduction) are as follows (rounded):

H-1 B VISAS STILL AVAILABLE FOR EMPLOYERS AND FOREIGN PROFESSIONALS

As of June 26, 2009, the U.S. Citizenship & Immigration Services (the "USCIS") is reporting that it has received only 44,800 H-1B cap-subject petitions and 20,000 advance degree cap-exempt petitions for Fiscal Year 2010 Employment. This latest update, which is basically unchanged in numbers from the previously-issued update, means that there are more than 20,000 H-1B cap-subject visas still available.
This is a very significant change from past years. Ordinarily, H-1B visa numbers become unavailable almost immediately upon the opening of the window for filing these petitions, which starts on April 1 of every year. The continued availability of H-1B visa numbers this long after they became initially available is a direct result of current market forces and unemployment concerns. Foreign professionals with H-1B cap-subject petitions filed in the current period can begin work with a new employer as soon as October 1, 2009.
Despite the economic climate, many industries are still hiring and many highly qualified foreign professionals are looking for new employment. The current availability of H-1B visa numbers provides an unusual opportunity for employers seeking to employ foreign professionals. Likewise, new college and master’s graduates as well as individuals completing residency or fellowship programs now have the unusual opportunity to obtain employment in H-1B cap-subject positions. The program helps Holocaust survivors complete applications for reparation payments from the German government. EDWARD J. FRISCH TESTIFIES BEFORE SENATE BUDGET AND APPROPRIATIONS COMMITTEE IN OPPOSITION TO PORTIONS OF SENATE BILL S2299

On June 22, 2009, Edward J. Frisch, along with Alan O'Shea, Executive Director of the Mechanical Contractors Association of New Jersey, testified before the Senate Budget and Appropriations Committee in opposition to the specific portion of S2299 which dealt with the ability of state and county colleges to enter into contracts with a private entity for a multitude of construction contracts. Mr. O'Shea and Mr. Frisch testified that the portion of the bill which eliminates competitive bidding, and other contracting laws, was detrimental to the public tax paying interests, and would result in "no bid contracts" with all its attendant problems, and would open the door to mischief and abuse.

Silvia is also studying at Seton Hall University School of Law and has previously clerked for Stern & Kilcullen (Roseland), where she worked on SEC litigation, and interned with Judge Barbara Curran in Jersey City. HEALTH CARE ATTORNEY SUCCESSFUL IN SUPREME COURT ARGUMENT

Health Care attorney, Catherine J. Flynn, was successful in arguing a case recently before the state Supreme Court on behalf of a client hospital’s EMS workers. Ms. Flynn, lead counsel on the matter, was assisted on the brief by associate Monica Vir, an associate with the firm. This is Ms. Flynn’s second health care case before the New Jersey Supreme Court in the last few months. The decision in the other matter is pending. Ms. Flynn, a Certified Civil Trial Attorney, represents hospitals, medical practices, physicians and other medical professionals in professional liability and other health care litigation.

LINDABURY CLOSES ON LARGEST EVER FHA LOAN

A team of Lindabury attorneys recently completed the largest single transaction in the history of the Federal Housing Administration and the largest hospital financing ever in New Jersey. The $756 million mortgage loan will assist client Capital Health System in constructing a state-of-the-art 223 bed acute care hospital in Hopewell Township, New Jersey. The loan, provided by Prudential Huntoon Paige Associates, Ltd, and insured through the FHA’s Section 242 Hospital Insurance Program, will not only provide for construction of the new hospital campus, but allowed Capital Health System to refinance existing tax-exempt bonds on favorable terms during a period of credit uncertainty.

Lindabury, McCormick, Estabrook & Cooper P.C., announced today that it has added a bankruptcy and reorganization attorney to its practice. The firm has added Scott C. Pyfer, who has 20 years of experience in bankruptcy and commercial loan workout matters, to assist its clients in developing strategies relating to the resolution and restructuring of debts and obligations. He will be based in the firm’s Westfield office.
"Although the firm has been looking for expertise in this area for some time, it had become critical for the firm to have someone with Scott’s experience in the current economic climate," said firm President, John R. Mr. Pyfer has previously been an attorney with the Princeton offices of the law firms of Sills, Cummis & Gross, P.C. and Reed Smith LLP. He also served as general counsel for PrinVest Financial Corp., a commercial lending company that was headquartered in Lawrenceville, NJ.
Mr. Pyfer’s practice will focus on the representation of institutional lenders and business borrowers in all aspects of commercial lending and restructuring, including but not limited to commercial loan workouts, debtor and creditors’ rights litigation, bankruptcy practice and transactional work in loan documentation. He has coordinated many loan restructurings involving borrowers in numerous and diverse industries, including healthcare, real estate development and telecommunications. Mr. Pyfer counsels lenders regarding issues that arise under the Uniform Commercial Code, particularly under Articles 3, 4 and 9. He also represents title companies and their insureds with respect to claims that arise under insured mortgages and other provisions of title insurance policies.
Mr. Pyfer has lectured and published materials on bankruptcy and banking law for the New Jersey Institute for Continuing Legal Education, the New Jersey State Bar Association, the Pennsylvania Bar Institute and the New Jersey Bankers Association.

LINDABURY'S WOMEN'S BUSINESS INITIATIVE VOLUNTEERS

On February 10, 2009, five members of Lindabury, McCormick, Estabrook & Cooper's, Women's Business Initiative, ("WBI") participated in a group volunteer project with the seniors at Time Out Adult Care Center in Madison, NJ. Since Valentine's Day was coming up, the women from Lindabury thought it would be fun to spend some time with the seniors designing Valentine's Day crafts.
"We are always looking for opportunities to reach out to the public and loved the idea of this program. We are very grateful that Time Out Adult Center invited us to join them for the activity and are looking forward to the next volunteer project," said Lindabury Shareholder and organizer Anne Burris.
The Time Out Adult Care Center provide affordable social day care for seniors and the disabled in a safe, stimulating, supervised environment. Nutritious meals are offered and transportation options are available. Family Service of Morris County operates three Time Out Centers conveniently located in Madison, Morris Plains and Succasunna.

CONSTRUCTION LAW GROUP ATTORNEYS ASSIST IN THE DRAFTING AND PASSING OF LEGISLATION

Edward J. Frisch and Bruce P. Ogden were actively involved with the legislation amending New Jersey's public contracting statutes to implement Energy Savings Improvement Projects. Ed and Bruce worked with our client, the Mechanical Contractors Association of New Jersey, in consulting with the administration and sponsoring legislators in the drafting and passing of the legislation. These efforts helped to insure that the existing New Jersey public bid laws would be preserved, thus insuring that HVAC contractors would be afforded the same opportunities to bid and contract for new work. ATTORNEY HONORED AS LAND USE EDUCATOR OF THE YEAR

The Urban Land Institute honored Jerry Fitzgerald English to be Land Use Educator of the Year for her graduate seminar in Environmental Problem Solving at New Jersey Institute of Technology. The multi-disciplined course for engineers and scientists focuses on projected infrastructure projects on the drawing board of the Port Authority of New York and New Jersey. She devised this course with the Port Authority of New York and New Jersey based upon her experience as Commissioner of the Department of Environmental Protection and of the Port Authority. Past projects include the proposal of New Jersey to New York City passenger tunnel under the Hudson River and environmental conditions to permit the rebuilding of the World Trade Center.
