Stephen A. Timoni

Mr. Timoni is an established business and health care lawyer, strategic advisor and Certified Public Accountant with more than 40 years of experience advising health care providers, privately held businesses, entrepreneurs and investors on legal, financial, transactional and regulatory matters. His combined legal, accounting and business background enables him to bring a financial and strategic perspective to the structuring, negotiation and evaluation of complex business transactions and significant business decisions. Mr. Timoni maintains Certified Public Accountant licenses in New Jersey and New York on inactive status.

A significant focus of Mr. Timoni's practice is the representation of physicians, medical and other professional practices, health care providers, business owners and entrepreneurs in mergers, acquisitions and sales, private equity transactions, joint ventures, affiliations and other strategic transactions. He advises clients throughout the transaction process, including the evaluation of strategic alternatives, negotiation of letters of intent, due diligence, transaction structuring, definitive agreements and closing.

Mr. Timoni also provides strategic and transaction advisory services to health care providers and other business owners considering growth opportunities, acquisitions, business sales, private equity proposals, succession alternatives and other significant ownership and capital decisions. Drawing upon his legal, accounting and business experience, he assists clients in evaluating both the structure and economics of proposed transactions, including matters involving EBITDA, valuation, purchase price, working capital, earnouts, rollover equity and post-closing compensation arrangements. 

Mr. Timoni regularly advises corporations, partnerships, limited liability companies, nonprofit organizations, closely held businesses and entrepreneurs regarding entity formation and restructuring, financing, mergers, acquisitions and sales, joint ventures, taxation, valuation, corporate governance, succession planning and regulatory matters. He also serves as a mediator in business and probate disputes. 

In the health care field, Mr. Timoni represents health care providers and entrepreneurs concerning business and transaction structuring, including physician and other professional practices, management services organizations (MSOs), private equity and other investment arrangements, Med Spas and Corporate Practice of Medicine issues. He also advises clients regarding managed care contracting, Medicare and Medicaid reimbursement, privacy and HIPAA, fraud and abuse, corporate compliance, e-commerce and telehealth. 

Mr. Timoni represents licensed health care providers and business owners before state Boards of Medical Examiners, Boards of Nursing and the Division of Consumer Affairs in disciplinary matters and regulatory investigations. He also advises health care organizations concerning governance, business relationships and regulatory and strategic matters. 

Before entering the practice of law, Mr. Timoni was associated with Price Waterhouse, where he gained experience in accounting, taxation and financial matters. His accounting background continues to inform his legal and strategic advisory practice, particularly in evaluating the financial aspects of acquisitions, dispositions and other business transactions.
